Welcome to CINERIOS. These Terms of Service (the “Terms”) are a binding legal agreement between you and ELSE GROUP LLC, a Florida limited liability company (D-U-N-S No. 12-680-5708) with its principal place of business at 7901 4th St N, Ste 300, Saint Petersburg, Florida 33702, United States. ELSE GROUP LLC owns and operates the CINERIOS platform, including the cinerios.com website and the CINERIOS “theater” streaming application (web and iOS, with Android to follow), and the studio at studio.cinerios.com (collectively, the “Services”). In these Terms, “CINERIOS,” “we,” “us,” and “our” mean ELSE GROUP LLC, and “you” means the person using the Services.

CINERIOS is a platform where short films, series, and other media are produced through artificial intelligence. You submit ideas and prompts; our automated pipeline turns selected ideas into AI-generated media; and the community votes on weekly premieres. These Terms explain the rules that apply when you do so. Please read Sections 6, 7, 9, 12, and 16 carefully — they affect your legal rights, including how ideas you submit may be used, how subscriptions renew, and how disputes are resolved.

1.Acceptance of Terms

By accessing, browsing, downloading, installing, or otherwise using the Services, or by clicking to accept these Terms where that option is presented, you acknowledge that you have read, understood, and agree to be bound by these Terms and by all policies incorporated into them by reference, including our Privacy Policy, our Content & Prohibited Use Policy, our Community Guidelines, our AI Disclosure, and our DMCA Policy. If you do not agree to these Terms, you must not access or use the Services.

These Terms form a binding agreement directly between you and ELSE GROUP LLC. No other party, including any app store, device manufacturer, or payment processor, is a party to these Terms, except as expressly stated for Apple in Section 14.

2.Eligibility

You must be at least 18 years old to create an account or use the Services. By using the Services, you represent and warrant that you are at least 18 years of age, that you have the legal capacity to enter into these Terms, and that your use of the Services is permitted under the laws of the country and region where you live.

The Services are not directed to, and may not be used by, anyone under 18. We do not knowingly collect personal information from, or provide the Services to, anyone under 18. If we learn that a user does not meet this age requirement, we may suspend or terminate the account and delete associated data.

3.Your Account

Most features of the Services require you to create an account. When you do, you agree to:

• Provide accurate, current, and complete information, and keep it up to date;
• Keep your login credentials confidential and not share, sell, or transfer your account;
• Be responsible for all activity that occurs under your account, whether or not authorized by you;
• Notify us promptly at hello@cinerios.com if you suspect any unauthorized use of your account or any other breach of security.

You are solely responsible for safeguarding your account. We are not liable for any loss or damage arising from your failure to maintain the security of your credentials. We may suspend or disable your account if we believe the information you have provided is inaccurate or incomplete, or if your account is used in violation of these Terms. You may close your account at any time through your account settings or by requesting deletion at cinerios.com/delete-account.

4.The Service & AI-Generated Content

CINERIOS is an AI-powered media platform. The Services use artificial intelligence to produce films, series, posters, trailers, voices, music, and related media (“AI-Generated Content”), and provide tools that let you initiate, guide, and explore the creation of such content. To produce AI-Generated Content, CINERIOS relies on third-party artificial-intelligence providers, which may include, among others, OpenAI (GPT), Anthropic (Claude), Google (Veo), Kling, RunwayML, and ElevenLabs (voice). The providers we use may change over time.

AI-Generated Content is produced by automated systems and may be fictional, inaccurate, unexpected, offensive to some viewers, or otherwise unsuitable for a particular purpose. It may also resemble existing works, real people, or real places, even when no such resemblance is intended. We do not warrant that the Services or any AI-Generated Content will be accurate, complete, reliable, original, cleared for use, continuously available, or fit for any particular purpose. You must not rely on AI-Generated Content as a statement of fact or as professional advice.

We are continuously developing the Services. We may add, change, suspend, throttle, or discontinue any feature, model, provider, content item, or part of the Services at any time, with or without notice. Weekly premieres, voting, catalogs, and other content are dynamic and may be removed or changed at our discretion.

5.Acceptable Use

Your use of the Services is governed by these Terms and by our Content & Prohibited Use Policy, which is incorporated by reference and sets out detailed rules for prompts and content. Without limiting that policy, you agree not to, and not to permit or enable anyone else to:

• Prompt or attempt to generate real, identifiable people or their voices — including celebrities, public figures, or any private individual — or to imitate any real person's likeness, voice, name, or persona;
• Submit prompts or content that infringe or misappropriate the intellectual property, privacy, publicity, or other rights of any person, including third-party characters, trademarks, logos, or copyrighted works;
• Generate or distribute content that is unlawful, defamatory, hateful, harassing, sexually exploitative (especially involving minors), violent extremist, or that promotes illegal activity or harm;
• Use the Services for any unlawful purpose or in violation of any applicable law, regulation, or third-party AI provider's usage terms;
• Scrape, crawl, harvest, or otherwise collect data from the Services using automated means without our written permission;
• Reverse engineer, decompile, or attempt to derive the source code, models, prompts, or underlying technology of the Services;
• Circumvent, disable, or interfere with usage limits, credit systems, security features, rate limits, or access controls;
• Upload or transmit viruses, malware, or any content you do not have the right to submit;
• Use the Services, or any AI-Generated Content, to develop a competing product or to train, fine-tune, or improve any competing AI model.

We may investigate suspected violations and may remove content, restrict, suspend, or terminate your access to the Services, or take other action we consider appropriate, for any violation of these Terms or the Content & Prohibited Use Policy.

6.Idea Submissions & Release

A core function of CINERIOS is that you submit ideas, prompts, concepts, titles, loglines, storylines, characters, themes, feedback, and other materials (collectively, “Your Submissions”) so that our pipeline can develop and produce media. The following terms apply to Your Submissions and are an essential part of the bargain that lets us operate the platform.

Submissions are non-confidential and non-proprietary

You agree that Your Submissions are non-confidential and non-proprietary. We are under no obligation of confidentiality, express or implied, with respect to Your Submissions, and nothing in these Terms or in your use of the Services creates any confidential, fiduciary, agency, or other special relationship between you and us. Do not submit anything you consider confidential or that you do not want used in the ways described here.

License you grant to us

By making Your Submissions, you grant ELSE GROUP LLC a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, and sublicensable (through multiple tiers) license to use, host, store, reproduce, adapt, modify, translate, produce, manufacture, distribute, publicly perform, publicly display, create derivative works from, and otherwise commercially exploit Your Submissions and any derivatives of them, in whole or in part, in any and all media now known or later developed, for any purpose, including developing, producing, marketing, and monetizing AI-Generated Content and other CINERIOS productions. This license survives termination of your account and these Terms.

No compensation, no confidentiality, no fiduciary duty

You acknowledge and agree that you are not entitled to any compensation, credit, attribution, royalty, or other consideration for Your Submissions or for any production that uses, is inspired by, or is derived from Your Submissions, and that we owe you no confidentiality and no fiduciary or other duty in connection with Your Submissions. Any production made by CINERIOS is made at our sole discretion and risk.

Independent-development waiver

You understand and agree that many users submit similar or identical ideas, and that CINERIOS, its personnel, its contractors, and third parties independently conceive, develop, and produce concepts and works that may be similar or identical to Your Submissions, without any reference to or use of Your Submissions. Accordingly, you irrevocably waive, and agree not to assert, any claim — whether based on copyright, contract, implied-in-fact contract, quasi-contract, unjust enrichment, breach of confidence, “idea theft,” or any similar theory — that any CINERIOS production was derived from, copied from, or misappropriates Your Submissions, or that any such production entitles you to compensation, credit, or any interest of any kind. This waiver applies regardless of any similarity between Your Submissions and any CINERIOS production.

Your representations

You represent and warrant that you own or have all rights necessary to make Your Submissions and to grant the license above, and that Your Submissions do not violate these Terms, the Content & Prohibited Use Policy, or the rights of any third party.

7.Ownership of AI-Generated Content

AI-Generated Content is produced by automated systems, and the legal status of automated outputs varies by jurisdiction. The provisions below establish the ownership and control of AI-Generated Content as a matter of contract between you and us, separate from any question of copyright.

Control as between the parties

As between you and ELSE GROUP LLC, all AI-Generated Content produced through the platform is owned and controlled by ELSE GROUP LLC. To the extent any AI-Generated Content is protectable by copyright or other intellectual-property rights, ELSE GROUP LLC owns it, and you hereby assign to ELSE GROUP LLC all right, title, and interest you may have or acquire in any such AI-Generated Content, including all related intellectual-property rights, and will sign any documents we reasonably request to perfect that assignment. To the extent any AI-Generated Content is not protectable by copyright or other rights, it is nonetheless governed by these Terms as a matter of contract, and you agree not to claim ownership of it, not to register or attempt to register any rights in it, and not to assert any such rights against ELSE GROUP LLC or its licensees.

License to you

Subject to your compliance with these Terms and the terms of your plan, we grant you a limited, non-exclusive, revocable, non-transferable license to access and view the AI-Generated Content associated with your account through the Services, for personal, non-commercial enjoyment, consistent with the scope of your plan. We may modify or revoke this license, and remove or change AI-Generated Content, at any time.

Upstream provider terms

AI-Generated Content is created using third-party AI providers and is subject to those providers' applicable usage terms. You agree to comply with all applicable third-party AI-provider usage terms in connection with any AI-Generated Content you access or use, and you acknowledge that the license granted to you is no broader than the rights CINERIOS holds from its upstream providers. If an upstream provider restricts or revokes rights in output, your rights are correspondingly limited.

8.No Warranty of Non-Infringement; Your Covenant

AI-Generated Content is created by automated systems trained on large datasets. As a result, it may resemble existing works, brands, characters, or real persons, and it is not cleared, licensed, or guaranteed to be free of third-party rights.

We do not warrant that any AI-Generated Content is non-infringing, original, or cleared for any use, and we do not warrant that any likeness, voice, name, or persona depicted in AI-Generated Content has been cleared or licensed. Voices used in the Services are synthetic or licensed; we do not provide voices of real, identifiable individuals.

You covenant that you will not submit prompts that depict, request, or attempt to reproduce real or identifiable persons, their voices, third-party intellectual property, trademarks, logos, or copyrighted works. You are solely responsible for any use, reproduction, public display, distribution, or other exploitation of AI-Generated Content that you undertake, including ensuring that such use does not infringe the rights of any third party or violate any law, and you assume all risk associated with that use.

9.Subscriptions, Credits & Payments

Certain features of the Services are offered through paid subscriptions, credit purchases, and one-time purchases. The price, billing frequency, included credits, and other key terms of any paid offering are presented to you at the point of purchase before you complete the transaction. By completing a purchase, you agree to pay all applicable fees and taxes.

Auto-renewal of subscriptions

How to cancel. If you purchased your subscription through the Apple App Store (on iOS), you must manage and cancel it in your Apple ID subscription settings on your device; deleting the app does not cancel a subscription. If you purchased your subscription on the cinerios.com website (processed by Stripe), you may cancel in your CINERIOS account settings. To avoid being charged for the next period, cancel before the current period ends. Except where required by law, payments already made are non-refundable, and partial periods are not refunded.

Price changes. We may change subscription prices or the contents of a plan. If a change increases the recurring price of your subscription, we will provide advance notice and obtain any consent required by applicable law before the change takes effect, and the new price will not apply until your next billing period after the notice. If you do not agree to a price change, you may cancel before it takes effect.

California and other U.S. residents: consistent with the California Automatic Renewal Law and similar statutes, your subscription continues and renews automatically until you cancel, you may cancel as described above, and we will send any renewal or price-change notices required by law.

Credits

The Services use a credit system to meter creation. One “dream” costs 100 credits. Credits are a limited license to access creation features of the Services; they are not money, not a stored-value or monetary balance, not a security, and not redeemable for cash. Credits have no value outside the Services, cannot be transferred or sold, and may, depending on your plan, reset at the start of each billing cycle without carrying over. Any unused credits are forfeited on cancellation, termination, or closure of your account, except where forfeiture is prohibited by applicable law.

Executive Producer purchase

The one-time Executive Producer purchase (USD 2,999) is a website transaction processed through Stripe at cinerios.com. It grants a consumption license to certain benefits — such as a credit allotment, on-platform recognition, and early access to features and premieres — for as long as CINERIOS continues to operate the Services. The Executive Producer purchase is not an investment and confers no ownership, equity, profit share, revenue participation, distribution rights, or any financial interest in ELSE GROUP LLC or in any production. It is a prepaid license to consume features of the Services, nothing more.

If we discontinue the Services or materially discontinue the Executive Producer benefits, we will, where required by applicable law, provide a pro-rated refund of the prepaid amount fairly attributable to benefits not yet made available; otherwise, benefits are provided on an “as available” basis for the life of the Services and are non-refundable once delivered.

Billing platforms

Purchases made on iOS are processed by Apple through In-App Purchase and are governed by the Apple Media Services Terms and Conditions in addition to these Terms (see Section 14). Purchases made on the cinerios.com website are processed by Stripe and are governed by Stripe's terms and our checkout disclosures in addition to these Terms.

10.EU & UK Consumer Rights

If you are a consumer in the European Union or the United Kingdom, you ordinarily have a right to withdraw from a purchase of digital content or services within 14 days without giving any reason.

However, you can ask us to begin supplying digital content or a subscription immediately, during this 14-day period. At checkout, you may be asked to (a) expressly consent to immediate performance and the immediate supply of the digital content or service, and (b) acknowledge that you thereby lose your right of withdrawal once performance has begun (and, for digital content not supplied on a tangible medium, once supply has begun). If you provide that consent and acknowledgment, your right of withdrawal ends to the extent performance has been provided. If you do not provide that consent, your statutory withdrawal right continues to apply for the full period. Nothing in these Terms limits any mandatory consumer rights you have under EU or UK law.

11.Disclaimers

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you, and you may have additional statutory rights that these Terms do not limit.

12.Limitation of Liability

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law. In particular, these limitations do not apply to liability for death or personal injury caused by our negligence, for gross negligence or willful misconduct, for fraud or fraudulent misrepresentation, to our indemnification obligations, or to any liability that applicable mandatory law does not permit us to exclude or limit. If you are a consumer, you may have statutory rights that take precedence over these limitations.

13.Indemnification

You agree to defend, indemnify, and hold harmless ELSE GROUP LLC and its members, officers, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your prompts and Your Submissions, including any claim that they infringe or violate the rights of a third party or any law;
• Your access to, use of, reproduction of, public display of, or distribution of AI-Generated Content or any other content from the Services;
• Your violation of these Terms, the Content & Prohibited Use Policy, or any applicable law; and
• Your violation of the rights of any third party.

We may, at our option, assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us. This indemnification obligation survives termination of these Terms.

14.Apple App Store Additional Terms

The following additional terms apply when you obtain or use the CINERIOS iOS application through the Apple App Store. In the event of any conflict between this Section and the rest of these Terms with respect to the App Store version of the app, this Section controls for that purpose.

• These Terms are between you and ELSE GROUP LLC only, and not with Apple Inc. Apple is not a party to these Terms and is not responsible for the app or its content.
• Apple has no obligation to furnish any maintenance or support services for the app. Apple is not responsible for addressing any claims by you or any third party relating to the app, including product-liability claims, claims that the app fails to conform to a legal or regulatory requirement, and claims arising under consumer-protection, privacy, or similar legislation.
• Apple provides no warranty of any kind with respect to the app. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
• Any in-app purchases and auto-renewable subscriptions made through the app are processed by Apple and are billed and cancelled in accordance with the Apple Media Services Terms and Conditions and your Apple ID settings, as described in Section 9.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist-supporting” country, that you are not on any U.S. Government list of prohibited or restricted parties, and that you will use the app only in compliance with applicable U.S. and other export-control laws and the Apple terms.
• Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

15.Termination

You may stop using the Services and close your account at any time through your account settings or at cinerios.com/delete-account. We may suspend or terminate your access to the Services, in whole or in part, at any time, with or without notice, if we believe you have violated these Terms or the Content & Prohibited Use Policy, if required by law or an upstream provider, or if we discontinue the Services.

Upon termination, your right to access and use the Services ends, and any licenses granted to you terminate; unused credits are forfeited as described in Section 9, except where prohibited by law. Provisions that by their nature should survive termination — including Sections 6 (Idea Submissions & Release), 7 (Ownership), 8 (No Warranty of Non-Infringement), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), and 16 (Governing Law & Disputes) — survive.

16.Governing Law & Disputes

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law rules, except where the mandatory consumer-protection laws of your country of residence apply (see the savings clause below).

Informal resolution

Before starting any arbitration or legal proceeding, you agree to first contact us at hello@cinerios.com and attempt to resolve the dispute informally for at least 30 days. Most concerns can be resolved this way.

Binding individual arbitration

If we cannot resolve a dispute informally, you and ELSE GROUP LLC agree to resolve it through final and binding individual arbitration, rather than in court, except as stated in the small-claims and injunctive-relief carve-outs below. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, as modified by these Terms. The seat and location of the arbitration will be Florida, United States, although you may elect to participate by telephone or video, and an in-person hearing, if any, may be held in your home county. The arbitrator's award may be entered in any court of competent jurisdiction.

Fees

Payment of arbitration fees will be governed by the AAA Consumer Arbitration Rules, and we will pay or reimburse filing, administrative, and arbitrator fees to the extent those rules or applicable law require, including where necessary to make this arbitration agreement enforceable.

Delegation

The arbitrator, and not any court, has the exclusive authority to resolve any dispute about the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of it is void or voidable; except that a court may decide whether the class-action and class-arbitration waiver below is enforceable.

Class-action waiver

You and ELSE GROUP LLC agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding, except as provided in the mass-arbitration protocol below.

Mass-arbitration / batching protocol

If 25 or more similar arbitration demands are submitted by or with the assistance of the same or coordinated counsel against ELSE GROUP LLC, you agree these demands will be administered in batches of up to 50 demands, with a single arbitrator and a single set of filing and administrative fees per batch, and that the batches will proceed sequentially. The parties and the administrator will work in good faith to resolve the batches efficiently. This protocol is intended to make individual arbitration manageable and cost-effective and does not waive any party's substantive rights.

30-day right to opt out of arbitration

You may opt out of this arbitration agreement (including the class-action waiver) within 30 days of first accepting these Terms. To opt out, send an email to hello@cinerios.com with the subject line “Arbitration Opt-Out,” stating your name, the email associated with your account, and a clear statement that you wish to opt out of arbitration. If you opt out, neither you nor we will be required to arbitrate, and disputes will instead be resolved in the courts described below. Opting out has no other effect on these Terms.

Small-claims and injunctive-relief carve-outs; residual court venue

Either party may bring an individual claim in small-claims court if it qualifies. Either party may also seek injunctive or other equitable relief in court to prevent the actual or threatened infringement, misappropriation, or violation of intellectual-property or confidentiality rights. For any dispute that is not subject to arbitration (because it falls within a carve-out, because you have opted out, or because arbitration is held unenforceable), the state and federal courts located in Florida will have jurisdiction and venue, and you consent to personal jurisdiction there; court jurisdiction is residual to, and not a substitute for, the arbitration agreement above.

Savings clause for consumer-protection laws

If you are a consumer in a jurisdiction whose mandatory consumer-protection laws (for example, in the European Union, the United Kingdom, or California) grant you rights, venues, or protections that cannot lawfully be waived or overridden by this Section, those mandatory laws apply to the extent of any conflict, and nothing in this Section deprives you of the protection of provisions that cannot be derogated from by agreement under the law of your country of habitual residence.

17.Copyright & DMCA

We respect intellectual-property rights and respond to notices of alleged copyright infringement in accordance with the U.S. Digital Millennium Copyright Act (DMCA) and applicable law. If you believe content on the Services infringes your copyright, please submit a notice as described in our DMCA Policy, or contact our designated agent at dmca@cinerios.com. We may remove or disable access to allegedly infringing content and may terminate the accounts of repeat infringers in appropriate circumstances.

18.Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, where the changes are material or required by law, provide additional notice (for example, by email or in-app notice). Your continued use of the Services after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services and may close your account.
